This document is the public offer of Valeev & Partners Law Office (the "Contractor") and contains all essential terms of legal services.
1. General provisions
In accordance with Article 437 of the Civil Code of the Russian Federation, this document is a public offer — a proposal to conclude a contract for legal services on the terms set out below.
Acceptance of this offer is deemed to occur by:
- submitting a request via any form on the Site;
- payment for the Contractor's services under an issued invoice;
- signing a separate written agreement for legal assistance.
From the moment of acceptance, the Client is deemed to have accepted all terms of this offer in full and without reservation.
2. Subject of the contract
The Contractor undertakes to provide legal services to the Client, and the Client undertakes to accept and pay for them in the amount, manner and on the terms agreed by the parties.
Types of services:
- legal analysis of the Client's documents and situation;
- preparation of legal opinions, claims, lawsuits, responses and other documents;
- representation of the Client's interests in courts, state authorities and before third parties;
- support of transactions, negotiations and corporate procedures;
- legal advice in oral and written form;
- other legal services agreed by the parties.
The specific scope, timing and cost of services are determined in an invoice, commercial proposal or separate written agreement forming an integral part of the contract.
3. Procedure of contracting
The contract between the Contractor and the Client is deemed concluded once the Client performs the actions specified in section 1 of this offer.
Payment for the Contractor's services constitutes acceptance of the offer in respect of the chosen service. Where there are disagreements, the parties execute a written contract with an agreed statement of work.
4. Fees and payment procedure
The cost of legal services is determined individually with account for:
- the complexity of the legal situation;
- the volume of documents and materials;
- the expected number of hearings and procedural actions;
- the need to engage narrow specialists (tax consultant, appraiser, expert, patent attorney).
Payment formats:
- fixed fee per stage — for tasks with a clear scope;
- hourly rate — for tasks with variable scope;
- success fee — a percentage of amounts recovered or saved, in cases permitted by law.
The specific format is agreed by the parties before work starts. Payment is made on the basis of an invoice by bank transfer. Staged payment is possible.
5. Rights and obligations of the parties
The Contractor undertakes to:
- provide services personally or with the involvement of narrow specialists;
- act in the Client's interests in good faith and professionally;
- preserve attorney-client privilege and confidentiality of information received;
- keep the Client informed of progress and emerging risks;
- provide reports on work performed upon the Client's request.
The Client undertakes to:
- provide complete and accurate information, documents and materials necessary for the services;
- pay for services in a timely manner in the agreed amount;
- not interfere with the Contractor's professional activities;
- promptly notify of any change in circumstances affecting the services.
6. Liability of the parties
The Contractor is liable for the quality and timeliness of services within the limits set by Russian law and the contract.
The Contractor is not liable for:
- consequences caused by the Client providing inaccurate, incomplete or distorted information and documents;
- decisions taken by the Client based on the Contractor's advice where those decisions fall outside the agreed statement of work;
- actions of third parties (courts, state authorities, counterparties of the Client);
- impossibility of performance caused by force majeure.
The maximum liability of the Contractor is limited to the amount actually paid by the Client under the contract.
7. Confidentiality
All information received by the Contractor from the Client is confidential and protected by law under attorney-client privilege (Article 8 of Federal Law No. 63-FZ "On Advocacy and the Legal Profession" of 31.05.2002).
The confidentiality regime has no time limit. Disclosure is possible only with the Client's express written consent or in cases expressly provided by law.
8. Dispute resolution
All disputes arising from this offer are resolved by the parties through negotiations. A claim must be sent in writing to the other party's email or postal address.
The claim review period is 15 business days from receipt. If the dispute cannot be resolved amicably, it is referred to a court at the Contractor's location, unless otherwise provided by law.
9. Validity and amendments
This offer comes into effect when published on the Site and remains in force until withdrawn by the Contractor.
The Contractor may amend the terms of this offer at any time. Amendments do not apply to contracts already concluded under a previous version. The current version is always available at /en/offer.
